This Personal Data and General Confidentiality Agreement (the “Agreement”) is entered into between you (the “Client”) and, a web hosting, design, and domain registration service provider (the “Service Provider”). This Agreement outlines the terms and conditions governing the collection, use, disclosure, and protection of personal data and the general confidentiality requirements related to the services provided by

1. Personal Data Protection and Privacy

1.1 Personal Data Collection: may collect and process personal data, as necessary, for the provision of its web hosting, design, and domain registration services. Personal data may include, but is not limited to, names, contact information, financial information, and any other data required to fulfill the service.

1.2 Purpose of Data Processing: Personal data will be collected and processed for the purpose of providing the requested services, including customer support, billing, and technical support.

1.3 Data Access and Retention: shall ensure that access to personal data is restricted to authorized personnel only, and such data will be retained only for as long as necessary to fulfill the purpose for which it was collected or as required by applicable law.

1.4 Data Security: shall implement reasonable security measures to protect personal data from unauthorized access, disclosure, alteration, or destruction.

1.5 Data Sharing: will not disclose or share personal data with third parties without the Client’s express consent, except as required by law.

1.6 Client Responsibilities: The Client agrees to provide accurate and up-to-date personal data to The Client is responsible for ensuring the accuracy and completeness of the data provided.

2. General Confidentiality

2.1 Confidential Information: Both parties acknowledge that in the course of providing and receiving services, they may gain access to confidential information. This may include, but is not limited to, proprietary business information, financial data, technical data, and trade secrets.

2.2 Non-Disclosure: Both parties agree not to disclose, directly or indirectly, any confidential information to any third party or to use such information for any purpose other than the provision or receipt of services outlined in this Agreement.

2.3 Duration of Confidentiality: The obligations of confidentiality shall remain in effect for the duration of this Agreement and for a period of five (5) years after its termination, unless otherwise agreed upon in writing by both parties.

2.4 Exclusions: Confidentiality obligations shall not apply to information that is:

(a) Publicly available through no fault of the receiving party.
(b) Already known to the receiving party before disclosure.
(c) Independently developed by the receiving party without the use of the disclosing party’s confidential information.
(d) Required to be disclosed by law or by court order, provided the receiving party notifies the disclosing party promptly.

3. Termination

This Agreement shall remain in effect until terminated by either party upon written notice to the other party. Upon termination, both parties shall return or destroy all confidential information and personal data obtained during the course of the Agreement.

4. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction].

5. Entire Agreement

This Agreement constitutes the entire agreement between the Client and with respect to the subject matter herein and supersedes all previous agreements and understandings.
